X Subscription Cursor Addendum

Last Updated: October 7, 2026

This X Subscription Cursor Addendum  (“Cursor Addendum”) is entered in connection with the SpaceXSI Terms of Service – Enterprise between Customer and SpaceXSI governing Customer's existing Teams plan (the “SpaceXSI Terms”). The SpaceXSI Terms and this Cursor Addendum together constitute the "Agreement" subject to the order of precedence in Section 2.7. By completing a flow to unify Customer's existing Teams plan with a Cursor plan, Customer accepts this Cursor Addendum. This Cursor Addendum applies only to Customers with an existing Grok or X Teams Subscriber as at October 7, 2026. Anysphere is a party to this Cursor Addendum solely with respect to the Cursor Third-Party Components. Upon acceptance, the Service under the SpaceXSI Terms expands to include the Cursor Services. SpaceXSI provides the Cursor Services and may use Anysphere as a subcontractor. Notwithstanding the foregoing, Anysphere continues to provide the Cursor Third-Party Components, as described in Section 2.

1. Definitions

As used in this Cursor Addendum, the following definitions apply:

1.1 “Affiliate” of a Party means an entity that, directly or indirectly, controls, is controlled by, or is under common control with such Party, where “control” means the power to direct or cause the direction of an entity’s management or affairs through ownership or control of 50% or more of the voting equity securities or other equivalent voting interest of an entity.

1.2 “Anysphere” means Anysphere, Inc., a Texas corporation with its principal offices at 2261 Market Street STE 86466, San Francisco, CA 94114, and an Affiliate of SpaceXSI.

1.3 “Cursor Documentation” means the technical documentation for the Cursor Services or otherwise made available to Customer, as updated from time to time.

1.4 “Cursor Services” means the services powered by Anysphere, as further described in the Cursor Documentation, and made available to Customer under the Subscription.

1.5 “Cursor Software” means the Cursor desktop application and any other downloadable software made available as part of the Cursor Services, including updates.

1.6 “Seat” means an entitlement under a Subscription that permits a single named Permitted User to access the Cursor Services.

1.7 "SpaceXSI" means SpaceXAI LLC , a Nevada limited liability company with its principal offices at 800 W Cesar Chavez St., Austin, TX 78701.

1.8 "Subscription" means an online subscription, purchase confirmation, or upgrade confirmation accepted by Customer through the Service that identifies the applicable Cursor Services and pricing terms. Without limitation, Customer's selection of "Confirm & Create Subscription" (or similar confirmation action) on a plan review or checkout page within the Service that references or links to this Cursor Addendum constitutes acceptance of a Subscription.

1.9 "Subscriber" means a person or entity with an active Subscription.

All other capitalized terms not defined in this Cursor Addendum have the meanings given in the SpaceXSI Terms.

2. Cursor Services

2.1 Services. The Cursor Services constitute Services under the Agreement, and the Cursor Documentation constitutes Documentation. Code, suggestions, and other content generated by the Cursor Services constitute Output. The Cursor Services and the Cursor Documentation, excluding Cursor Third-Party Components, constitute SpaceXSI Technology, owned by Anysphere or its licensors. Cursor Third-Party Components are provided by Anysphere and are not SpaceXSI Technology.

2.2 Provider. SpaceXSI provides the Cursor Services and may use Anysphere as a subcontractor under Section 13.2 of the SpaceXSI Terms.

2.3 Service Specific Terms. Certain portions of the Service, including but not limited to Grok Bot, may be subject to additional service-specific terms ("Service Specific Terms"), which are incorporated into and form part of this Cursor Addendum.

2.4 Cursor Third-Party Components. To the extent the Service provides access to Cursor, Grok Bot, or AI models not developed or owned by SpaceXSI or its Affiliates ("Third-Party AI Models"), access to Cursor, Grok Bot or the Third-Party AI Models, including any Output generated by such Third-Party AI Models (collectively, "Cursor Third-Party Components"), is provided by Anysphere. For Cursor Third-Party Components, references to “SpaceXSI” in the SpaceXSI Terms shall be deemed to refer to Anysphere and shall not be deemed to refer to SpaceXSI. Customer’s use of Cursor Third-Party Components remains subject to the Cursor Acceptable Use Policy (“Cursor AUP”), which incorporates the acceptable use policies of the applicable Third-Party AI Model providers. If the Cursor AUP conflicts with the AUP, the more restrictive provision applies. The DPA continues to apply to the processing of personal data in connection with Cursor Third-Party Components. Fees for Cursor Third-Party Components, including usage incurred with respect to any feature served by a Third-Party AI Model, and any usage-based top-ups, are invoiced and collected by Anysphere, subject to the payment collection arrangements described in Section 2.5. All other provisions of this Cursor Addendum and the Agreement apply to Customer's use of the Cursor Third-Party Components as written. For the avoidance of doubt, SpaceXSI makes no representations or warranties and assumes no liability with respect to Cursor Third-Party Components; any claims arising from or related to Cursor Third-Party Components are solely between Customer and Anysphere. SpaceXSI will not use Third-Party AI Model technology or Output generated by a Third-Party AI Model, or Inputs submitted to a Third-Party AI Model, if prohibited by Anysphere’s agreement with that Model Provider.

2.5 Payment Collection. SpaceXSI and its Affiliates (including Anysphere) may appoint one another as payment collection agents. Customer authorizes any appointed Affiliate to charge Customer's approved payment method, process payments and refunds, and share payment information with SpaceXSI or Anysphere as applicable for those purposes. Payment to an appointed Affiliate satisfies Customer's corresponding payment obligation under the Agreement to the entity providing the applicable portion of the Service. The collecting Affiliate may be identified at checkout, on an invoice or receipt, or on Customer's payment statement.

2.6 Communications. Anysphere, SpaceXSI, and their Affiliates may send Customer and its Permitted Users emails and other communications concerning the Cursor Services, including product updates, feature announcements, and promotional communications. Customer or its Permitted Users may opt out of promotional communications by using any unsubscribe or similar functionality included in the communication. Customer may not opt out of non-promotional communications, such as those about Customer's account, transactions, servicing, security, or the ongoing business relationship.

2.7 Precedence. This Cursor Addendum is incorporated into the applicable Subscription and forms part of the Agreement. In the event of a conflict among the documents forming the Agreement (including Section 13.10 of the SpaceXSI Terms), the following order of precedence applies: (a) Service Specific Terms (with respect to the applicable portion of the Service); (b) this Cursor Addendum; (c) the SpaceXSI Data Processing Addendum ("DPA"); and (d) the SpaceXSI Terms. For conflicts between the Cursor Documentation and the Documentation under the SpaceXSI Terms, the Cursor Documentation controls only with respect to the technical operation of the Cursor Services. For conflicts involving any applicable Acceptable Use Policy and the use restrictions in the Agreement, the more restrictive provision applies.

3. License and Use

3.1 Cursor Software. Subject to the Agreement, SpaceXSI grants Customer a limited, non-exclusive, non-transferable, non-sublicensable license during the Subscription Term for each Permitted User assigned a Seat to install and use the Cursor Software, in object code form, on devices under Customer’s control, solely to access the Cursor Services for Customer’s internal business purposes. The Cursor Software includes open-source components licensed under their own terms, and nothing in the Agreement limits Customer’s rights under those licenses. SpaceXSI may update this Cursor Addendum at any time by providing reasonable notice, including by posting to https://x.ai/legal. If, in SpaceXSI's reasonable judgment, an update materially impacts Customer's rights or obligations, SpaceXSI will provide at least thirty (30) days' notice before the update goes into effect, unless the update is necessary to comply with applicable law, in which case SpaceXSI will provide as much notice as reasonably possible. Customer's continued use of the Cursor Services after an update goes into effect will constitute acceptance of the update. If Customer does not agree with an update, Customer may stop using the Cursor Services or terminate this Cursor Addendum.

3.2 Internal Use. Customer may use the Cursor Services only for its internal business purposes. Sections 1.1(b) and 1.1(c) of the Agreement do not apply to the Cursor Services unless a Subscription expressly provides otherwise.

3.3 Additional Restrictions. Customer will not, and will not permit any Permitted User or third party to:

(a) publish or provide to any third party the results of any benchmark test of the Cursor Services, unless the results include all information necessary for others to replicate the test;

(b) engage in model extraction, or use the Cursor Services or any Output to develop or train a product or model that competes with the Cursor Services; or

(c) submit to the Cursor Services any data that is subject to specific security requirements under applicable law beyond those that apply to personal data generally, including information regulated by the Health Insurance Portability and Accountability Act, the Payment Card Industry Data Security Standard, or the Gramm-Leach-Bliley Act.

These restrictions form part of Section 2 of the Agreement and constitute obligations to comply with the AUP for purposes of Section 8.2(e) of the Agreement.

3.4 Third-Party Services. Extensions, plug-ins, MCP servers, marketplace offerings, and integrations with third-party code repositories or collaboration tools that Customer enables in the Cursor Services are Third-Party Services under Section 3.5 of the Agreement.

4. Autonomous Features

The Cursor Services may include features that automatically execute code, run terminal commands, modify files, or take other actions without Permitted User review or confirmation of each action, and will be clearly labeled accordingly. By enabling such a feature, Customer acknowledges and agrees that it is assuming all risks associated with the execution of automatically generated code, including system outages, software defects, data loss, and security vulnerabilities. Customer is solely responsible for any impact resulting from use of such features, including ensuring appropriate safeguards, testing, and monitoring are in place.

5. Data

5.1 Data Processing. The DPA applies to SpaceXSI’s processing of Personal Data in connection with the Cursor Services, and Anysphere acts as SpaceXSI’s subprocessor. Subprocessors engaged by Anysphere in connection with the Cursor Services are listed at https://trust.cursor.com/subprocessors. The Anysphere Data Processing Addendum available at https://www.cursor.com/terms/dpa (“Cursor DPA”) applies to Anysphere’s processing of Personal Data in connection with the Cursor Third-Party Components. The license granted in Section 3.2 of the SpaceXSI Terms extends to Anysphere as necessary to provide the Cursor Services and the Cursor Third-Party Components.

5.2 Retention. For purposes of Section 3.3(a) of the Agreement, the retention periods described in the Cursor Documentation, and the settings Customer selects within the Cursor Services, constitute retention periods agreed with Customer.

5.3 Privacy Settings. Section 11.2 of the Agreement does not apply to the Cursor Services. Customer may control the use and retention of User Content in the Cursor Services through the privacy settings described in the Cursor Documentation, and Customer is responsible for configuring those settings for its Permitted Users. Customer is solely responsible for ensuring that its configuration of such privacy settings satisfies Customer's data-minimization and other obligations under applicable privacy law.

Even if Customer opts out of having User Content used for model training, SpaceXSI may still use Customer User Content for safety, security, and evaluation purposes, including to improve safety, security and moderation systems when: (i) Customer provides Feedback to us regarding any User Content; or (ii) Customer’s User Content is flagged by us for safety or security review, in order to improve SpaceXSI’s ability to detect violative or harmful content, enforce SpaceXSI’s policies, and advance SpaceXSI’s safety initiatives and research. When User Content is used for safety, security, or evaluation purposes, it is disassociated from Customer and Customer’s users’ identities except where re-identification is necessary to enforce the Agreement, the Acceptable Use Policy, or legal reasons.

6. Warranty and Indemnity

6.1 Performance Warranty. The Performance Warranty does not apply to any non-conformity resulting from the features described in Section 4 or from the Cursor Third-Party Components.

6.2 Indemnity. SpaceXSI's obligations under Section 9.1 of the SpaceXSI Terms extend to the Cursor Services and Output generated by the Cursor Services as part of the Service, subject to the limitations in the SpaceXSI Terms. In addition to the exclusions in Section 9.1 of the SpaceXSI Terms, SpaceXSI has no obligation for any IP Claim relating to Output of the Cursor Services if: (a) Customer or any Permitted User has disabled, evaded, disrupted, or interfered with any content filters, restrictions, or other safety systems that are part of the Cursor Services; (b) Customer knew or should have known that the Output was likely to infringe or misappropriate any proprietary right of a third party; or (c) Customer does not have lawful rights over all Input used to generate the Output that is the subject of the claim. Section 9.1 of the SpaceXSI Terms does not apply to an IP Claim arising solely from a Cursor Third-Party Component. Any such claim is solely between Customer and Anysphere, as provided in Section 2.4. Anysphere does not grant an intellectual-property indemnity for Third-Party AI Models except as expressly stated in a Subscription.

7. Termination

The termination rights in Section 6 of the SpaceXSI Terms may be exercised with respect to the Cursor Services alone, without terminating the Agreement or any other Services. Termination of the Cursor Services terminates Customer's access to the Cursor Third-Party Components. Termination of the Agreement terminates this Cursor Addendum.

8. Confidentiality

8.1 In accordance with the definitions, obligations and permissions pertaining to the non-disclosure, use and protection of Confidential Information as set out in the SpaceXSI Terms, the Parties agree that:

(a) SpaceXSI Confidential Information includes Confidential Information of SpaceXSI Affiliates (including Anysphere) that SpaceXSI or any of its Affiliates may disclose to Customer; and

(b) SpaceXSI may disclose Customer Confidential Information to SpaceXSI Affiliates (including Anysphere) as Authorized Recipients as necessary to provide the Cursor Services; provided that SpaceXSI shall remain responsible for ensuring compliance by its Affiliates with all obligations of non-disclosure and protection of Customer Confidential Information.

9. Notices to Anysphere

Notices to Anysphere under this Cursor Addendum must be sent by email to legal@cursor.com, Attention: Legal Department, with a copy to Anysphere, Inc., 2261 Market Street STE 86466, San Francisco, CA 94114, Attn: Legal Department.

10. Survival

Sections 1 (Definitions), 3 (License and Use), 4 (Autonomous Features), 5 (Data), 6 (Warranty and Indemnity), 8 (Confidentiality), and this Section 10 (Survival) survive expiration or termination of this Cursor Addendum or the Agreement.
