These Grok for Startups Program Terms (these “Program Terms”) govern your application to, and participation in, the Grok for Startups program (the “Program”) offered by SpaceXAI LLC (“SpaceXAI,” “we,” “our,” or “us”). “You” and “your” mean the company or other organization on whose behalf an application is submitted. The Program is a promotional offer. It builds on, and does not replace, the terms that already govern your use of our services.
Definitions. Capitalized terms used but not defined herein have the meanings ascribed to them in the Applicable Terms.
“Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with an entity, where “control” means ownership or control of 50% or more of its voting interests.
“Applicable Terms” means, as applicable to the relevant Eligible Service: (a) the SpaceXAI Terms of Service - Enterprise (the “Enterprise Terms”); (b) the SpaceXAI Terms of Service - Consumer; (c) the SpaceXAI Grok Bot Terms; (d) the SpaceXAI Acceptable Use Policy; (e) the SpaceXAI Privacy Policy; (f) the Anysphere, Inc. Terms of Service; (g) the Anysphere, Inc. Grok Bot Terms; (h) the Anysphere, Inc. Acceptable Use Policy; (i) the Anysphere, Inc. Privacy Policy; and (j) any other terms presented to you for a specific Eligible Service, including any other written agreement between you and SpaceXAI covering such Eligible Service, each as updated from time to time.
“Application” means your application to the Program and all information you provide with it or later in connection with the Program.
“Approval Communication” means the email or other written notice from SpaceXAI approving your Application and stating your Credit amount, Tranche structure, Tranche 2 Criteria, Expiration Date, and any other conditions.
“Company Group” means you, your Affiliates, and any predecessor or successor entity. It also includes any entity formed, acquired, or reorganized that carries on substantially the same business, product, or team as you or your Affiliates.
“Credits” means promotional usage credits issued under the Program.
“Eligible Services” means Grok, Grok Build, Grok Bot, and Grok API, in each case as made available to your Team Account.
“Program Page” means x.ai/startups and any related FAQ or help page we designate.
“Team Account” means the SpaceXAI team, organization, or console account identified in your Application or Approval Communication, to which Credits are applied.
About these Program Terms
Acceptance. By submitting an Application, checking the box to accept these Program Terms, or accepting or using any Credits, you agree to these Program Terms. If you do not agree, do not apply or use Credits.
Authority. The individual who submits an Application or accepts these Program Terms represents that they are at least 18 years old and are authorized to bind you to these Program Terms.
Order of Precedence. These Program Terms supplement the Applicable Terms. Your access to and use of the Eligible Services, including any use paid for with Credits, remains governed by the Applicable Terms. If there is a conflict between these Program Terms and the Applicable Terms relating to the Program or Credits, these Program Terms control solely to the extent of that conflict. For all other matters, the Applicable Terms control.
Eligibility; Evaluation Criteria
Eligibility. You are not eligible if your Company Group or any director, officer, employee, agent or other person acting on its behalf is (a) a person or entity identified on any applicable economic sanctions or export control lists; or (b) organized, resident, or located in, or any agency or instrumentality of the government of, any country or territory that is the target of comprehensive U.S. sanctions or embargoes. Employees, contractors, agents, and representatives (and their immediate families) of SpaceXAI, Anysphere, Inc. Space Exploration Technologies, Corp., Tesla, Inc. X Corp., or their parents, subsidiaries, and divisions are not eligible to apply to the Program or be provided Program Benefits.
Evaluation Criteria. SpaceXAI will consider any relevant factor when evaluating your Application, including, but not limited to, funding, investors, revenue, current AI spend, traction, team size, intended use, Program capacity, and the results of verification. Factors may be weighed differently for each Application. Ultimate eligibility will be determined at SpaceXAI's sole discretion.
Void where Prohibited. The Program is void where prohibited or restricted by law, and is not available in any jurisdiction where it would be inconsistent with applicable law.
Applications
How to Apply. Apply through the form on the Program Page. You may have only one Application pending for your Company Group at a time. If we decline your Application, you may reapply once your circumstances change.
Accurate Information. You represent that all information in your Application is accurate, complete, current, and not misleading. This includes your funding, investors, revenue, AI and LLM spend, customer traction, team size, and Team Account details. You understand that we rely on this information to decide eligibility and Credit amounts. The Program is intended for companies that have not already received significant promotional credits from us. In your Application, you must disclose all promotional credits your Company Group has previously received from us or our Affiliates. You will promptly tell us if any material information changes before your Credits expire, including a change of control.
Verification. You authorize us, and service providers acting for us, to verify your Application. We may do this by reviewing public sources and third-party business data sources, by contacting the investors, accelerators or partners you identify to confirm your relationship with them, and by asking you for supporting documents. If you do not provide requested information within ten (10) days, we may decline your Application or withdraw any approval. We may decline any Application that is incomplete or that we cannot verify to our satisfaction.
Program Partners. If you apply through, or are referred by, an investor, accelerator, or other SpaceXAI program partner (a “Program Partner”), any minimum Credit amount or other benefit described to you for that Program Partner’s portfolio applies only if your Application is approved under these Program Terms. Program Partners are not our agents. They cannot change these Program Terms or make commitments on our behalf.
Selections
No Entitlement. We review Applications on a rolling basis and decide in our sole discretion whether to approve an Application, the amount and structure of any Credits, and any conditions. Submitting an Application does not entitle you to Credits or to any particular amount. Descriptions of the Program on the Program Page, in FAQs, in emails or in other materials, including typical or target Credit amounts, are informational only and are not a commitment.
Limitations. Only one grant of Credits under the Program is available per Company Group. You may not submit multiple Applications, split your business across entities, accounts or domains, or create new entities or accounts to obtain more Credits. These Program Terms do not change credits or offers you received under any earlier program. Those remain governed by their original terms.
Approval Communication. If we approve your Application, we will send an Approval Communication to the email address in your Application. You are entitled only to the Credits stated in your Approval Communication. Approval is subject to continued eligibility, verification, and compliance with these Program Terms.
Issuance. Credits are applied only to the Team Account identified in your Application or Approval Communication. If Credits you were told to expect do not appear within a reasonable time, contact us at startups@x.ai.
Other Outcomes. Instead of approving Credits, we may decline your Application or refer you to our sales team to discuss other offerings. We do not commit to any timeline for reviewing Applications or issuing Credits.
Program Capacity. We may pause, limit, or prioritize approvals at any time, including to manage the Program budget.
Decisions. Our decisions about eligibility, approval, Credit amounts, etc. are final.
Credits
Use. Credits may be applied to fees for the Eligible Services incurred by your Team Account between the date the Credits are applied and the Expiration Date. Credits are held in a single balance across the Eligible Services, subject to any per-service allocation or limits we apply. Credits cannot be applied to:
taxes;
fees incurred before the Credits are applied or after they expire or are forfeited;
third-party products or services, marketplace items, X Corp. services (including X Premium), professional services or hardware;
past-due amounts; or
fees under a separate committed-spend or prepaid arrangement, unless we agree in writing.
How Credits are Applied. Credits are applied automatically to eligible charges before your payment method is charged or an invoice is issued. If you hold more than one credit balance, we determine the order in which they are applied. Usage beyond your available Credits is billed under the Applicable Terms. Credits are denominated in U.S. dollars and are drawn down at the rates that apply to your Team Account at the time of use.
Permitted Use. Credits are for your own business use of the Eligible Services in compliance with the Applicable Terms. You may not use Credits for the benefit of unaffiliated companies or resell usage paid for with Credits.
No Service Commitment. Credits do not commit SpaceXAI to make any Eligible Service, model, or feature available for any period, and we do not guarantee that your Credits will cover any particular volume or duration of use.
Expiration. Unless your Approval Communication states otherwise, Credits expire six (6) months after the date they are applied to your Team Account (the “Expiration Date”).
Forfeiture. Unused Credits are forfeited on the Expiration Date. They are also forfeited if your Team Account is closed, is suspended or terminated for breach, or if your participation ends. Forfeited Credits will not be reinstated or extended unless we agree in writing, and no compensation is owed for them.
Additional Restrictions. Credits:
are promotional, provided free of charge, and are not prepaid fees, a deposit or stored value, or a payment of any kind under the Applicable Terms;
have no cash value, are not redeemable for any value, and are not refundable, including on termination, expiration, or discontinuation of the Program or any Eligible Service, notwithstanding any refund provision in the Applicable Terms;
are personal to your Team Account and may not be sold, transferred, assigned, shared, bartered, or licensed, including to an Affiliate, except as we expressly permit in writing;
cannot be combined with any other promotion, coupon, credit, or discount offer from SpaceXAI or its Affiliates for the same Eligible Services unless we agree in writing;
are void where prohibited or restricted by law; and
do not change in value if our prices change.
Amendments; Suspensions; Termination
Amendments. We may modify, suspend, or end the Program, or update these Program Terms, at any time and for any reason, including legal, business, or financial reasons. We will post updated Program Terms on the Program Page with a new “Last updated” date. Updates apply going forward. If an update is materially adverse to Credits already applied to your Team Account, we will give you reasonable notice before it takes effect, except where the change is required for legal, regulatory, security, or fraud-prevention reasons.
Termination; Withdrawal.
If we end the Program, Credits already applied to your Team Account remain usable until their Expiration Date under these Program Terms. This does not apply if we must end them earlier for legal, regulatory, or security reasons.
We may end your participation if you breach these Program Terms or the Applicable Terms, if you become ineligible, or if your Team Account is terminated. Except as stated herein and to the fullest extent permitted by law, you may not assert any claim, demand, or action arising from or in connection with the modification, suspension, or end of the Program.
You may withdraw from the Program at any time by emailing startups@x.ai. Any unused Credits are then forfeited.
Taxes. Credits may have different tax consequences from cash. You are solely responsible for determining whether receiving or using Credits creates any tax obligation in your jurisdiction, and for any resulting taxes. SpaceXAI makes no representation about the tax treatment of Credits and will not issue tax forms for Credits unless required by law. If applicable law requires us to collect tax information or documentation in connection with Credits, you agree to provide it on request, and we may withhold or forfeit Credits if you do not. Taxes on your use of the Eligible Services remain your responsibility under the Applicable Terms.
Disclaimers; Limitation of Liability
Disclaimers. The Program is provided “as is” and “as available.” The disclaimers in the Applicable Terms apply to them. We do not guarantee that any Eligible Service, model, or feature will be available, or that your Credits will be sufficient for any particular purpose or period.
Limitation of Liability. The limitations and exclusions of liability in the Applicable Terms apply to the Program. In addition, to the fullest extent permitted by law, the total aggregate liability of SpaceXAI and its Affiliates arising out of or relating to the Program, these Program Terms, or Credits will not exceed one hundred U.S. dollars ($100). For purposes of any limitation of liability, Credits have no attributable value. Nothing in these Program Terms limits liability that cannot be limited under applicable law.
General
Publicity. You may state publicly that you participate in the Program. You will keep confidential any non-public information we share with you about the Program, including non-public information included in the Approval Communication, except as required by law. We may identify you as a participant in the Program in our marketing.
Governing Law and Disputes. Unless prohibited by applicable law, any dispute arising out of or relating to the Program, these Program Terms, or Credits is governed by Sections 13.3 (Governing Law; Jurisdiction and Venue), 13.4 (Class Action and Jury Trial Waiver) and 13.7 (Limitations Period) of the Enterprise Terms, which are incorporated by reference. This applies whichever Applicable Terms govern your use of a particular Eligible Service.
Entire Agreement. These Program Terms, your Approval Communication, and the Applicable Terms are the entire agreement between you and us about the Program and supersede any prior or contemporaneous agreements regarding such subject matter. Statements by our employees, Program Partners or others, and descriptions in marketing materials, FAQs, or emails do not modify these Program Terms.
Assignment. You may not assign or transfer these Program Terms or any Credits. We may assign these Program Terms to an Affiliate or to a successor in a merger, acquisition, or similar transaction.
Third Parties. These Program Terms do not create rights for any third party.
Relationship. Nothing in these Program Terms creates a partnership, joint venture, agency, or employment relationship between you and SpaceXAI or any of its Affiliates.
Severability; No Waiver. If any provision of these Program Terms is held unenforceable, it will be limited to the minimum extent necessary and the rest will remain in effect. Waivers must be signed by the waiving party’s authorized representative and cannot be implied from conduct or from a previous waiver.
Interpretation. Headings are for convenience only. “Including” means “including without limitation.” The English version of these Program Terms controls.
Survival. Sections 6 through 10 survive the end of your participation or of the Program.
